Is it material? The SEC’s cybersecurity disclosure requirements

Event Description

The Securities and Exchange Commission (SEC) adopted rules requiring registrants to disclose material cybersecurity incidents they experience, and to disclose on an annual basis material information regarding their cybersecurity risk management, strategy, and governance. Companies need to be ready to comply with the SEC’s rules, which focus on providing transparency to investors. An organization with weak or non-existent cybersecurity controls may pose more risk to investors, and a company experiencing a material cybersecurity incident may experience a range of short and long-term losses. The annual disclosures will be due beginning with annual reports for fiscal years ending on or after Dec. 15, 2023. Incident disclosures will be required beginning Dec. 18, 2023, although smaller reporting companies will have an additional 180 days before their breach disclosure rules take effect. Is your organization prepared?

Join us for a panel discussion as we review frameworks and approaches companies can adopt for determining potential impacts of a cyber incident, and best practices on disclosing cyber risks to investors and regulators.
