You are invited to join Grant Thornton LLP's Associate Training. This half-day training is designed to provide associates with an overview of multiple aspects of the transaction lifecycle, including the due diligence process, and other deal issues
The session will focus on:
Financial Due Diligence Fundamentals
A review of the overall process for financial due diligence, including: 1) the importance of financial diligence; 2) the accounting due diligence process; 3) quality of earnings overview, including common issues and warning signs; 4) quality of net assets; 5) balance sheet overview; and 6) review debt and debt-like Items.
Tax Due Diligence Fundamentals
A review of the common tax consequences of both stock and asset acquisitions, from both the Acquirer’s and Seller’s perspective. Topics will include: 1) tax rates utilized for each type of transactions; 2) historical liability treatment; 3) allocation of assets, including tax basis and allocation methods; 4) 338(h)(10) elections; and 5) NOL treatment.
Purchas Price Allocations
A review of common considerations encountered during the purchase price accounting and opening balance sheet process including valuation of tangible and intangible assets, financial modeling considerations, and SPA implications.
